Memorandum of Understanding

Myleadify LLC

And

Northern California Carpenter Union Members

Purpose:

This Memorandum of Understanding (MOU) sets forth the terms and understanding between Myleadify LLC and the individual members of the Northern California Carpenter Union regarding the creation of one-page resumes for its union carpenter members. This project is not associated with or signed off by the Northern California Carpenter Union. However, Myleadify LLC is a Union-friendly company and proudly serves the members of the Carpenters Union.

Agreement & Scope of Work:

Myleadify LLC will create one-page resume web pages for individual members of the Northern California Carpenter Union. These resumes will highlight the skills, experience, and qualifications of the union carpenters. Each project will be built and hosted on the Myleadify platform.

Exclusive Rights and Consent:

The individual members of the Northern California Carpenter Union grant Myleadify LLC the exclusive rights and consent to create and manage the resume web pages.

Member Eligibility:

Myleadify LLC will only conduct this type of business with Union Carpenters who are in good standing with the Northern California Carpenter Union. Services will be provided exclusively to Union Carpenters who are on the Ready To Work list maintained by the Northern California Carpenter Union. This service is available to all eligible apprentice and journeyman Carpenters. Participation in this service is optional for Union members.

Independent Contractor Status:

Myleadify LLC is an outside contractor and is not part of the Northern California Carpenter Union. Myleadify LLC operates independently and is not affiliated with the Union beyond serving its members as per this agreement.

Fee Structure:

Each carpenter member will be responsible for paying a one-time fee of $297.00 for the creation of the resume web page. The one-time fee includes 100 business cards for the carpenter member. Additionally, there will be a monthly maintenance and upkeep fee of $10.00, which will only be charged during the time the union member is out of work. There will be no refunds once the project has started.

Information Provision:

The union member shall provide Myleadify LLC with the necessary information to complete the project. This includes, but is not limited to, information typically found on a resume such as work experience, education, certifications, skills, and contact details. Myleadify will not share any information of the union member to any third party.

Suspension and Reactivation of Services:

It is the responsibility of the union member to contact Myleadify LLC to suspend the web page when the member finds a job. Suspending the web page will stop the monthly recurring payment of $10.00, and the webpage will not be accessible during the suspension period. The suspension can be reversed when the member is no longer working, at which point the recurring $10 monthly fee will resume, and the page will become active again.

Business Card Design:

The business card design will include a QR code linked to the one-page web page containing the member's resume. Additionally, the web page will feature an additional QR code linking to the carpenter's website, displaying all the certificates acquired through the Carpenters Union Training.

Term and Termination:

This agreement will commence on the date of signing and will continue until terminated by either party with a 30-day written notice.

Confidentiality:

Myleadify LLC agrees to maintain the confidentiality of any personal or professional information of the union carpenters obtained during the creation of the resume web pages.

Intellectual Property:

Any intellectual property created by Myleadify LLC in the course of this agreement will remain the property of Myleadify LLC. Any attempts to recreate may result in legal action.

Indemnification:

Myleadify LLC agrees to indemnify and hold harmless the Northern California Carpenter Union from any claims, liabilities, or expenses arising out of the services provided under this agreement.

Governing Law:

This MOU will be governed by and construed in accordance with the laws of the State of California.

No Guarantee of Employment:

This project or Myleadify LLC does not guarantee members a job. The service provided is solely for the creation of a digital profile to showcase the members' qualities, work history, qualifications, and certificates to prospective employers.
